Terms and Conditions for DIGITAL CAPITAL UNIFY Affiliate Marketing Program

Introduction

Welcome to the DIGITAL CAPITAL UNIFY Affiliate Marketing Program. By signing up to be an affiliate in the DIGITAL CAPITAL UNIFY Affiliate Program ("Program"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").

Approval or Rejection of the Application

We reserve the right to approve or reject ANY Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

Affiliate Links and Promotion

• Use of Links: Once you have been approved as an Affiliate, you will receive a unique Affiliate URL that will be used to track all traffic and sales coming from your site. It is your responsibility to ensure that the correct Affiliate URL is used in each promotion.
• Promotion Methods: You may use graphic and textual links both on your website and within your email messages. You may also advertise the DIGITAL CAPITAL UNIFY site in online and offline classified ads, magazines, and newspapers.
• Unacceptable Practices: Affiliates shall not use their affiliate link to buy products for themselves. This includes (but is not limited to) using their affiliate link to purchase products for resale, personal use, or any other purpose. Engaging in such activity may result in the termination of your affiliate account and forfeiture of any accrued commissions.

Commissions

• Commission Structure: Affiliates will earn a commission on referred sales according to the designated commission rate in place at the time of the sale. Commissions will be calculated based on the gross sales amount, excluding shipping and handling charges, and returns.
• Payment Schedule: Commissions are paid out on a monthly basis. Affiliates must have a minimum balance of $100 before payment will be issued. If the minimum balance is not met, the commission will roll over to the following month until the balance meets or exceeds $100.
• Commission Disputes: Affiliate has access to the DIGITAL CAPITAL UNIFY affiliate dashboard where they can track their sales, commissions, and payment status. Any discrepancies in commission reports must be reported within 30 days of the occurrence.

Termination

DIGITAL CAPITAL UNIFY reserves the right to terminate any affiliate account at any time, with or without cause. Reasons for termination include (but are not limited to):

• Violation of any terms of the Agreement.
• Violation of any laws or regulations.
• Spamming (mass email, mass newsgroup posting, etc.).
• Inappropriate advertising (false claims, misleading hyperlinks, etc.).
• Competition or actions against the business interests of DIGITAL CAPITAL UNIFY.

If you are terminated from the Program, you will forfeit all rights to any and all commissions accrued but not yet received from DIGITAL CAPITAL UNIFY.

Relationship of Parties

Affiliates are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf.

Limitation of Liability

We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s). We make no claim that the operation of the Program and our website(s) will be error-free, and we will not be liable for any interruptions or errors.

Indemnification

Affiliate shall indemnify and hold harmless DIGITAL CAPITAL UNIFY and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors, and assigns, including those licensed or authorized by DIGITAL CAPITAL UNIFY to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which DIGITAL CAPITAL UNIFY is located, without regard to the conflicts of laws and principles thereof.

Changes to the Terms

DIGITAL CAPITAL UNIFY reserves the right to amend or modify these Terms and Conditions at any time and in any manner. It is the responsibility of the Affiliate to keep themselves up-to-date with the latest version of these Terms and Conditions.

Acceptance

By submitting your application to join the DIGITAL CAPITAL UNIFY Affiliate Marketing Program, you acknowledge that you have read this Agreement and agree to all its terms and conditions. If you do not agree to these terms, you should not apply to the Program.
